Terms of Service

1. Contracting Entity
These Terms of Service (“Terms”) govern your use of flextexsupply.com (the “Site”) and the services provided by FlexTex Supply LLC, a limited liability company registered in the State of New York, with its principal address at 418 Broadway, Ste N, Albany, NY 12207 (“FlexTex,” “we,” “our,” or “us”).
2. Nature of Services
FlexTex Supply LLC provides general and sportswear textile supply services to business and individual clients on a quote basis. We do not publish a fixed price catalog; each engagement is governed by an individual written quotation.
3. Quotes and Orders
All quotes issued by FlexTex are non-binding offers and remain valid for the period specified in the quote (or 30 days by default). An order is binding only upon FlexTex’s written confirmation of acceptance, following client approval of the quote.
4. Pricing and Payment
Prices are stated in U.S. dollars and exclude applicable taxes, duties, and shipping unless explicitly noted in the quote. Payment terms are specified in each accepted quote. Late payments may incur interest at the maximum rate permitted by applicable law.
5. Delivery
Estimated delivery timelines are communicated in each quote and represent reasonable estimates. FlexTex will use commercially reasonable efforts to meet delivery schedules but is not liable for delays caused by suppliers, carriers, or events outside our reasonable control.
6. Cancellations and Returns
Because orders are sourced based on client specifications, cancellations after order confirmation may be subject to fees. Returns are evaluated on a case-by-case basis in accordance with the conditions stated in the order confirmation.
7. Limitation of Liability
To the fullest extent permitted by law, FlexTex’s total liability for any claim arising from or related to a transaction shall not exceed the amount paid by the client for the specific order at issue. FlexTex is not liable for indirect, incidental, consequential, or punitive damages.
8. Intellectual Property
All content on the Site, including text, images, and the FlexTex Supply name and logo, is the property of FlexTex Supply LLC and may not be reproduced without prior written consent.
9. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute shall be brought before the competent courts of the State of New York.
10. Hosting Provider
In accordance with applicable legal requirements, the Site is hosted by Cloudflare, Inc., 101 Townsend Street, San Francisco, CA 94107, United States — www.cloudflare.com.
